Terms of Service

1. GENERAL PROVISIONS

1.1 Introduction

These Terms of Service (“Terms”) govern your access to and use of the RationalEdge security analysis platform (the “Service”) operated by RationalEdge AG, a Swiss Public Limited Company registered in Zürich, Switzerland, commercial register number CHE-197.148.718 (“RationalEdge”, “we”, “us”, or “our”).

1.2 Acceptance

By accessing or using the Service, you (“Client” or “you”) agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms incorporate by reference our Privacy Policy and any other policies referenced herein, all of which form part of the agreement between you and RationalEdge.

2. DEFINITIONS

“Account” means the user profile created to access the Service.

“Analysis Results” means the security intelligence and reports generated by the Service regarding submitted Samples.

“Client” is the specific legal entity (organization, department, agency, or organizational unit) that has entered into the Agreement with the Operator. For the avoidance of doubt, where a Client is part of a larger organizational structure (such as a government ministry, canton, or corporate group), the Agreement applies only to the specific contracting entity and does not grant rights to other entities within the same organizational structure unless separately agreed in writing.

“Sample” means any file, URL, hash, or other data you submit to the Service for analysis.

“User” means any individual authorized by the Client to use the Service.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To use the Service, you must:

Be at least 18 years of age
Provide accurate, current, and complete registration information
Maintain and promptly update your account information
Accept these Terms

3.2 Business Accounts

If you are registering on behalf of a business or organization:

You represent and warrant that you have the authority to bind that entity to these Terms
The entity you represent agrees to be bound by these Terms
You must provide accurate business registration details as requested
Multiple users may be granted access under a single business account, subject to your subscription plan

3.3 Account Approval

RationalEdge reserves the right to review and approve account registrations at its sole discretion. We may request additional information or documentation to verify your identity or business credentials before activating your account.

3.4 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your Account
Immediately notifying us of any unauthorized use or security breach

3.5 Account Types

We may offer different account tiers, including free and paid subscriptions, with varying features and limitations as specified on our website.

4. USE OF THE SERVICE

4.1 Permitted Use

You may use the Service solely for legitimate security research, malware detection, threat intelligence, and related security purposes in accordance with these Terms and applicable law.

4.2 Scope of Access

Access to the Service is granted solely to the specific Client entity named in the Agreement. Where the Client is part of a larger organization (such as a government department, ministry, canton, municipality, or corporate group), access rights do not automatically extend to other entities, departments, or branches within that organization. Each separate entity requiring access must enter into its own separate Agreement with RationalEdge.

4.3 Prohibited Activities

You may not:

Use the Service for any illegal purpose or in violation of any laws
Upload Samples containing confidential, proprietary, or personal data without lawful authorization
Use the Service to harm, compete with, or test security vendors without permission
Attempt to reverse engineer, decompile, or extract the Service’s underlying technology
Engage in activities that could damage, disable, or impair the Service
Use the Service for antivirus testing or competitive analysis without our written consent
Resell, redistribute, or sublicense access to the Service without our prior written authorization
Attempt unauthorized access to our systems or networks
Submit Samples subject to export control regulations (e.g., ITAR)
Use automated tools to access the Service beyond rate limits specified in your account tier

5.1 Sample Submission

When you submit a Sample to the Service:

The Sample is analyzed by our security engines and may be shared with trusted security partners
Analysis Results may be shared with the security community to improve global threat detection
You grant us a worldwide, royalty-free, irrevocable license to use, store, analyze, and share the Sample and Analysis Results

5.2 Important Warning

DO NOT SUBMIT SAMPLES CONTAINING CONFIDENTIAL INFORMATION, TRADE SECRETS, PERSONAL DATA, OR SENSITIVE BUSINESS INFORMATION UNLESS YOU HAVE LAWFUL PERMISSION AND INTEND FOR SUCH DATA TO BE PUBLICLY SHARED.

The Service is designed for community-based threat intelligence sharing. Any Sample you submit may become accessible to security researchers and partners.

5.3 Your Responsibilities

You represent and warrant that:

You have the right to submit each Sample
Samples comply with all applicable laws and these Terms
You will not submit Samples solely to test or discredit security vendors

6. FEES AND PAYMENT

6.1 Subscription Fees

Certain features of the Service require a paid subscription. Fees are based on your selected plan and are charged in advance according to the billing cycle specified.

6.2 Payment Methods

Payment shall be made via wire transfer to our designated bank account. Alternative payment methods (such as credit card, payment service providers, or other methods) may be offered at our discretion and will be specified in the invoice if available. By using an alternative payment method, you authorize us to charge the applicable fees to that payment method.

6.3 Payment Terms and Late Payment

Invoices must be paid within thirty (30) calendar days from the invoice date
All fees are exclusive of applicable taxes, which shall be added to invoices where required
All fees are non-refundable, including for partial use, early termination, or downgrade to a lower tier
In the event of late payment, we reserve the right to:
- Charge late payment interest at a rate of 0.05% per calendar day on the outstanding amount from the due date until full payment is received
- Suspend or terminate your access to the Service without prior notice until payment is received in full
- Recover all costs associated with collection of overdue amounts, including reasonable legal fees

6.4 Price Changes

We may change fees upon 30 days’ notice. Price changes will apply at your next subscription renewal date. If you do not agree with the new fees, you may cancel your subscription before the renewal date.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Our Rights

The Service, including all software, databases, trademarks, and content (excluding user-submitted Samples), is owned by RationalEdge and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

7.3 Restrictions

You may not copy, modify, distribute, sell, or create derivative works based on the Service without our prior written consent.

8. DATA PROTECTION AND PRIVACY

8.1 Privacy Policy

Our collection and use of personal data is governed by our Privacy Policy, which complies with Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation (GDPR).

8.2 Data Processing

We process personal data as a data controller for account and user data, and may act as a data processor for certain Sample-related data, subject to applicable data processing agreements.

9. SERVICE AVAILABILITY

9.1 “As Is” Provision

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantees

We do not guarantee that the Service will:

Be uninterrupted, secure, or error-free
Provide accurate or complete Analysis Results
Meet your specific requirements
Be free from viruses or harmful components

9.3 Maintenance

We may temporarily restrict access to the Service for maintenance, updates, or as required by law, with or without notice.

10. LIMITATION OF LIABILITY

10.1 Exclusion of Liability

TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW, RATIONALEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR REPUTATION, ARISING FROM:

Your use of or inability to use the Service
Any unauthorized access to or use of your data
Any errors, mistakes, or inaccuracies in Analysis Results
Third-party conduct or content
Any interruption or cessation of the Service

10.2 Maximum Liability

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the six (6) months preceding the claim, or CHF 100 if you are using a free tier.

10.3 Mandatory Law

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Swiss law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless RationalEdge, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Samples you submit to the Service

12. MODIFICATIONS

12.1 Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website and providing 30 days’ notice. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

12.2 Changes to Service

We may modify, suspend, or discontinue any aspect of the Service at any time without prior notice or liability.

13. TERM AND TERMINATION

13.1 Term

These Terms remain in effect for as long as you access or use the Service.

13.2 Termination by You

You may terminate your Account at any time by discontinuing use of the Service and contacting us to delete your Account.

13.3 Termination by Us

We may suspend or terminate your access to the Service immediately without notice if:

You breach these Terms
You provide false or misleading information
Your use poses a security or legal risk
Required by law or court order
You fail to pay applicable fees

13.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall remain in effect, including but not limited to liability limitations, indemnification, and dispute resolution provisions.

14. GOVERNING LAW AND JURISDICTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in Zürich, Switzerland. However, we retain the right to bring proceedings in your country of residence for breach of these Terms.

14.3 Dispute Resolution

Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good faith amicable negotiations for a period of 30 days.

15. MISCELLANEOUS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other incorporated policies, constitute the entire agreement between you and RationalEdge regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms to any third party without restriction.

15.5 Language

The original language of these Terms is English. Any translations are provided for convenience only, and the English version shall prevail in case of conflicts.
